YOU AGREE THAT TACG, ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, ATTORNEYS OR OTHER REPRESENTATIVES SHALL HAVE ABSOLUTELY NO LIABILITY IN CONNECTION WITH THE TACG SITE, ITS USE OR OPERATION, AND/OR THE CONTENT THEREIN, INCLUDING WITHOUT LIMITATION, ANY LIABILITY FOR (a) ANY DAMAGE TO YOUR COMPUTER HARDWARE OR SOFTWARE, DATA, AND/OR BUSINESS RESULTING THEREFROM; (b) ANY LOSS OR INJURY CAUSED, IN WHOLE OR IN PART, BY TACG'S ACTIONS, OMISSIONS, OR NEGLIGENCE, OR FOR CONTINGENCIES BEYOND ITS CONTROL, IN PROCURING, COMPILING, OR DELIVERING SERVICES, INFORMATION OR DATA ON THE TACG SITE; (c) ANY ERRORS, OMISSIONS, OR INACCURACIES IN THE SERVICES, INFORMATION OR DATA ON THE TACG SITE, REGARDLESS OF HOW CAUSED, OR DELAYS OR INTERRUPTIONS IN DELIVERY OF THE SERVICES, INFORMATION OR DATA; OR (d) ANY DECISION MADE OR ACTION TAKEN OR NOT TAKEN BY YOU IN RELIANCE UPON THE SERVICES, INFORMATION OR DATA FURNISHED ON THE TACG SITE.

YOU AGREE THAT THIS LIMITATION OF LIABILITY IS COMPREHENSIVE AND APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, COMPENSATORY, SPECIAL, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES.

SUBMISSIONS

By posting, uploading, inputting, providing or submitting any materials to TACG (each a "Submission," and collectively "Submissions"), you are granting all ownership rights in such Submissions to TACG, unless otherwise specified in writing. For all Submissions, you hereby grant TACG, its affiliates and necessary sublicensees permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission. No compensation will be paid to you with respect to the use of your Submission, as provided herein. TACG is under no obligation to post or use any Submission that you may provide and TACG may remove any Submission at any time in its sole discretion.

By posting, uploading, inputting, providing or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submission.

JURISDICTION AND VENUE

You agree that any legal action brought against TACG, its directors, officers, shareholders, employees, agents, attorneys or other representatives, shall be governed by the laws of the Commonwealth of Kentucky without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any litigation arising from your use of the TACG Site shall be an appropriate federal or state court located in Jefferson County, Kentucky.
